Course Outline: Fall 1999

1. Scope of Course
-
This course is an introductory survey of the law of sales under the Uniform Commercial Code,
with particular emphasis on Article 2; contract formation; parol evidence rule; statute of frauds;
risk of loss; receipt and inspection; acceptance, revocation; warranties; remedies of buyer and
seller; remedy disclaimers; documentary transactions; letters of credit.

2. Course Materials

The casebook for this course is Douglas J. Whaley, Problems and Materials on the Sale and Lease
of Goods (1990). You should also have the latest official text of the Uniform Commercial Code.
A copy of the draft revision of Article 2 will be placed on reserve in the law library.

3. Class Attendance, Assignments and Preparation

I expect students to attend class regularly and to be prepared to discuss the assigned materials in
class. I will exclude students who do not attend class regularly.

4. Office Hours
-
My office is in Room 231, Storey Hall. Subject to rescheduling, my office hours will be 11:00-
12:00 a.m. on Tuesday and Wednesday. My secretary is Judy Parsley (Room 227, Storey Hall;
tel. 768-2837).

5. Final Examination
-
I will administer a three-hour examination on May 3, at 8:30 a.m. (LL.M. students whose native
language is not English will be permitted an additional hour.) The examination may include one
hour of short-answer questions. During the examination you may consult any published or
written materials other than materials checked out of the law library. Your grade on the final
examination will be your grade for the course.
