TRANSNATIONAL SALES CONTRACTS
Course Outline: Fall 1998
- 1. Scope of Course

This course studies the 1980 United Nations Convention on Contracts for the International Sale
of Goods. Course materials will examine the Convention's sphere of application, formation of
transnational sales contracts, performance of obligations, and remedies for breach of these
obligations. The materials emphasize textual analysis and problem-solving. Previous study of a
domestic sales law, such as U.C.C. Art. 2, is useful but not necessary.
- 2. Course Materials

The first two chapters of the photocopied course materials for this course will be distributed at
the beginning of the semester. Additional chapters will be distributed during the semester.
- 3. Class Attendance, Assignments and Preparation

I expect students to attend class regularly and to be
prepared to discuss the assigned materials in class.
- 4. Office Hours

My office is in Room 231, Storey Hall. Subject to rescheduling, my office hours will be Tuesday,
2:00-3:00 p.m., and Wednesday, 11:00-12:00 a.m. My secretary is Judy Parsley (Room 227,
Storey Hall).
- 5. Final Examination

I will administer a three-hour examination at 8:30 a.m. on December 8. (LL.M. students whose
native language is not English will be permitted an additional hour.) During the examination you
may consult any published or written materials other than materials checked out from the law
library. Your grade for the final examination will be your grade for the course.
